These Terms of Service ("Terms") govern your use of the Scope application ("Service"), a Shopify app that automates the processing of wholesale invoices. By installing or using Scope, you agree to these Terms. If you do not agree, do not install or use the Service.
Scope is a subscription-based software service that helps Shopify merchants process wholesale invoices using AI. The Service allows you to upload invoice PDFs or forward supplier emails, review extracted inventory data, and push approved inventory updates to your Shopify store. Scope is provided on an "as is" basis, and we work continuously to improve it.
To use Scope, you must have an active Shopify store and install the app through the official Shopify App Store. You must be at least 18 years old and authorized to enter into binding agreements on behalf of your business. You are responsible for maintaining the security of your Shopify account and any access credentials associated with it.
Scope offers a free plan and multiple paid subscription tiers. Paid plans are billed through Shopify Billing on a monthly or annual basis. By subscribing to a paid plan, you authorize Shopify to charge your payment method on a recurring basis until you cancel.
Each subscription tier includes a monthly invoice limit. A single invoice (one PDF or one forwarded email) counts as one invoice regardless of how many line items it contains. Limits reset on your billing date each month. If you reach your limit before your billing cycle resets, you will be prompted to upgrade. We do not automatically charge you for overages.
Paid plans include a 14-day free trial. You will not be charged during the trial period. If you do not cancel before the trial ends, your plan will convert to a paid subscription and your payment method will be charged.
You may cancel your subscription at any time through Shopify. Cancellation takes effect at the end of your current billing period. We do not offer prorated refunds for unused portions of a billing period. Annual plan fees are non-refundable after 14 days from the date of purchase.
Scope uses AI to extract data from invoice PDFs. While we work hard to make this as accurate as possible, AI systems can make mistakes. Line items may be misread, quantities may be incorrect, or SKUs may not match.
Important: Scope never pushes inventory changes to Shopify without your explicit approval. You are responsible for reviewing all extracted data before approving any invoice. By clicking Approve, you confirm that you have reviewed the results and accept responsibility for the inventory changes that follow. Scope is not liable for inventory discrepancies resulting from approved invoices that contained AI errors you did not catch during review.
You agree to use Scope only for lawful purposes and in connection with legitimate wholesale inventory management for your Shopify store. You may not:

Scope and all its components, including the software, AI models, user interface, and documentation, are owned by us and protected by applicable intellectual property laws. Using Scope does not give you ownership of any part of the Service. Your invoice data and Shopify store data remain yours. We do not claim ownership over content you upload or data pulled from your Shopify store.
You may terminate your use of Scope at any time by uninstalling the app from your Shopify store. We may suspend or terminate your access to Scope at any time if you violate these Terms, fail to pay fees when due, or if we determine that your use poses a risk to the Service or other users. Upon termination, your data will be deleted in accordance with our Privacy Policy.
Scope is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or completely accurate. We do not warrant that the AI will extract invoice data without errors. Use of the Service is at your own risk. This disclaimer applies to the fullest extent permitted by applicable law.
To the maximum extent permitted by law, Scope's total liability to you for any claim arising from your use of the Service is limited to the amount you paid us in the three months immediately preceding the event giving rise to the claim. We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if we were advised of the possibility of such damages.
You agree to indemnify and hold Scope harmless from any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law.
We may modify the Service or these Terms at any time. We will notify you of material changes through the app or by email at least 14 days before they take effect. Your continued use of Scope after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, your remedy is to cancel your subscription and stop using the Service.
These Terms are governed by the laws of the jurisdiction in which Scope is registered, without regard to conflict of law provisions. Any disputes will be resolved through good-faith negotiation first. If that fails, disputes will be submitted to binding arbitration or, where arbitration is not permitted, to the courts of that jurisdiction.
